Till QoE for SBA Lenders

Independent Quality of Earnings for SBA 7(a) lenders.

Beginning October 1, 2026, qualifying business acquisitions of $3 million or more require a Quality of Earnings report commissioned by the lender. Till delivers lender-ready QoE reports built for speed, rigor, and value—so validated earnings never slow a closing.

$3M+Business purchase price that triggers the requirement
Oct 1, 2026Applies to loans receiving an SBA loan number on or after this date
TTM + 2 FYCash proof period: trailing twelve months and two most recent fiscal years
1.25xGenerally applicable minimum DSCR for an initial acquisition
The Requirement

A new SBA requirement—and a new obligation on the lender.

Under the new SOP, the Quality of Earnings report is obtained by and for the lender. A report commissioned by the buyer, the seller, or a business broker does not satisfy the requirement. Lenders must use the QoE-supported earnings figure in debt-service coverage and retain the report in the credit file.

$3 million threshold

Measured on the business purchase price in the purchase agreement, before buyer equity or seller financing. The appraised value of qualifying owner-occupied real estate is excluded.

Independent provider

An independent, experienced financial professional engaged for the lender’s benefit. Buyer-, seller-, or broker-commissioned reports do not qualify.

Required analysis

Reconciliation of financial statements, tax returns, internal financials, and IRS transcripts; add-backs and adjustments; revenue and margin sustainability; a cash proof; and a normalized earnings figure.

Underwriting impact

QoE-derived earnings drive debt-service coverage. If validated earnings don’t support the structure, the loan may need to be resized or additional equity required.

1.25xMinimum debt-service coverage for an initial business acquisition
1.15xMinimum debt-service coverage for a business expansion through acquisition
In scope. Initial business acquisitions and business expansions through acquisition with a business purchase price of $3 million or more.
Excluded from the automatic requirement. Owner buyouts, ESOP transactions, and cooperative conversions—though lenders may still require a QoE under their own credit policy.
Lender discretion below $3 million. Lenders may request a QoE on smaller acquisitions based on credit policy or transaction risk—heavy add-backs, customer concentration, or thin coverage.
Not a substitute for the valuation. The business valuation addresses value; the QoE addresses the reliability and sustainability of the earnings that service the debt.
What’s Required
